These Terms of Service govern the commercial service relationship between you and ROLLLL DESIGN LIMITED (hereinafter referred to as "the Company"). By commissioning the Company to provide any design services, you agree to be bound by the following terms.
1. Scope of Services
The specific scope of services, deliverables, timelines, and fees shall be explicitly stipulated in the signed project quotation or contract between both parties. Such documents constitute an integral part of these Terms.
2. Quotations and Payment
Quotations provided by the Company are generally valid for 30 days. Payment methods and schedules will be specified in the contract. Late payments may result in work interruptions or incur additional fees.
3. Intellectual Property
- All intellectual property rights to design work remain with the Company until full payment for the project is received.
- Upon final payment clearance, the Company shall transfer specified intellectual property rights (typically usage rights) for the final deliverables to the Client as agreed in the contract. The Company reserves the right to display such work in its portfolio and marketing materials unless otherwise agreed in writing.
4. Client Responsibilities
The client agrees to provide necessary materials, content, and feedback in a timely manner to ensure smooth project progress. The Company shall not be held liable for project delays caused by client delays.
5. Modifications and Termination
Modifications to the project scope require mutual written consent and may involve adjustments to fees and timelines. Either party may terminate services in accordance with contractual provisions.
6. Limitation of Liability
Services are provided "as is." To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages.
7. Governing Law and Jurisdiction
These terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute shall be submitted to the exclusive jurisdiction of the Hong Kong courts.
